WOW. What a can of worms. First,: a large benefit of incorporating a business is that if you get into legal problems it is only the assets of your business that are at risk, not your personal property, such as your house. An S corporation is a corporation usually used by single owners with lower income etc. You can also put your business in a trust which could protect your business for your children. These are lawyer questions!!

Second: The corporate structure of your company has nothing to do with your employees tax status. They need to control their income to comply with the governmental entity that is paying them. They can be either: 1. employees, and you would be responsible for withholding tax, SS payments, benefits, etc. or 2.: Independent Contractors, in which case they are responsible for their own payments. (I would urge this solution for a start up small company like yours).
3. Unemployment. Unemployment compensation is generally operated by the state. In my state in order to be eligible for unemployment you must have been recently (days) laid off for lack of work. It is not retroactive to the last five years, nor does it pay if you quit your job, so don’t count on that. If you lose your job you would be entitled to unemployment. It is designed as a stop gap if you have no income and you must report regularly on your job search. Part of the qualification search is to look at the contribution your former employer made for each employee. He can verify or condemn your efforts to collect. His "knows how to get out of it" holds no water, because he gets to approve or disapprove your claim. BUT be sure you have documentation. If you are working for a company that has an HR department, register a complaint with them.

The only way you can get retribution from this employer would be through a lawsuit.

Get a lawyer.
